20 March 2007 CONSTITUTION OF THE Cool Cycling Club Cool, California 95614 Article I NAME AND AUTHORITY The name of the organization has been established and hence forth will be known as the Cool Cycling Club. All references to the organization will be indicated as theCool Cycling Club (CCC or “The Club”). Article II OBJECTIVES Section 1 The purpose of the CCC is to promote all forms of cycling as a healthy, enjoyable, sporting, competitive and family oriented activity. This is to be carried out in an atmosphere of companionship, mutual support and cooperation via community service activities that promote the sport of cycling, health maintenance and good citizenship. The Cool Cycling Club will foster friendship and community spirit which will enhance the image of all bicyclists and encourage an attitude of unified purpose between our members and other cyclists.Section 2 Each member is encouraged to actively participate in, and support this effort by setting examples in acceptable riding practices and in promoting the morale, welfare and recognition of all members.Section 3 Objectives of the Cool Cycling Club are as follows:
a. First and foremost, encourage members to enjoy the cycling lifestyle and have a safe and pleasurable time at all social outings. b. Encourage a high degree of camaraderie and social acceptance between all club members. c. Promote and support cycling activities andprograms both within and outside of our club.
d. Enhance the image of all cyclists by promoting a positive impression and assisting to educate the public about cycling and our organization. e. Support fellow cyclists regardless of affiliation with our club or other organizations. f. Provide avenues of communication for all members to exchange information, news, encouragement and feedback about cycling events for all club members.
g. Uphold the principles of the Cool Cycling Club Rider Code of Conduct. Cool Cycling Club Rider Code of Conduct · I agree to share the road in a safe, courteous and helpful manner with motorists, other cyclists and trail users.
· I agree to participate in, and be a part of community activities that support cycling as a healthy, fun and positive lifestyle and to encourage and cooperate with my fellow Cool Cycling Club members in all cycling activities and sporting events.
· I agree to abide by all motor vehicle laws and local traffic ordinances when riding on the roads.
· I agree to follow all local ordinances and rules relative to riding on multiple use trails, and to refrain from riding on any trails that are not approved for cyclists. Article III MEMBERSHIP Section 1 All individuals interested in cycling are eligible for regular membership. Membership is voluntary. All regular members will have the same rights, privileges, restrictions and conditions of membership.Section 2 Honorary membership may be extended to any person when such membership serves the objectives of the Cool Cycling Club. Nominees will be confirmed by a majority vote of the Executive Council. Honorary members will not be eligible to hold office nor will they be considered voting members. Section 3 Applicants will be admitted to membership upon completing an application, payment of the annual dues, signing of the Release and Waiver of Liability and agreeing to uphold the Club’s objectives and Rider Code of Conduct.Article IV MEMBERSHIP DUES Section 1 Membership dues for the Cool Cycling Club will be established at $12.00 per individual or $20.00 per family per year, or any portion thereof. Dues are to be paid through the Treasurer. Payment of dues entitles the individual to vote on all issues brought forth to the membership. A family membership will allow for two votes to be cast for all issues brought before the membership. In addition to offsetting administrative costs, these funds will be used to support activities of the club and its members, in addition to providing a means to further the education of the public about the Cool Cycling Club and the cycling community.Section 2 Amendments to thecost of dues of members of the Cool Cycling Club will be determined by a majority vote of the Executive Council.Section 3 All active members must pay their dues in advance within the calendar year. Honorary members are exempt from payment of dues. Section 4 Once received and receipted for, all dues become the financial property of the Cool Cycling Club.Article V REVENUE Section 1 In addition to membership dues, income derived from special projects, special assessments or any other fund raising activities will go into the general fund and be dispersed/utilized in accordance with Article IV section1 and Article VI Section 2 of the Cool Cycling Club constitution.
Article VI OFFICERS AND GOVERNING BODY EXECUTIVE COUNCIL Section 1 The Executive Council will consist of five members: President, Vice President, Secretary, Treasurer and one Member at large. Any member in good standing is eligible to hold any office. Section 2 The Council will have full authority to manage the affairs of the Cool Cycling Club and will control all matters not otherwise provided for. No funds will be expended by the Cool Cycling Club for any purpose which is not clearly in furtherance of the objectives of the Cool Cycling Club as set forth in Article II of the Cool Cycling Club Constitution. Any expenditure over $100 will require a second signature from a member of the Executive Council.Section 3 The Officers of this Association will be members of the Executive Council. All officers have equal voting rights. Section 4 In the event an officer is unable to fulfill his or her duties, the Executive Council, by unanimous vote of the remaining council members, may relieve the individual of his or her duties and designate a temporary officer to fulfill the current year of the term, until the next regular membership meeting, when the members will elect a new officer.
Article VII DUTIES OF THE PRESIDENT Section 1 It will be the duty of the Cool Cycling Club President to preside at all meetings of the membership and the Executive Council and perform such functions as may be necessary for the efficient conduct of the affairs of the Cool Cycling Club. In the absence of the President, the Vice President will perform the duties of the President.Article VIII DUTIES OF THE VICE PRESIDENT Section 1 The Vice President will serve as the Executive Council liaison to all committees, ensuring that each committee receives any necessary logistical support. The Vice President will act as the disbursing agent for the Cool Cycling Club in the absence of the Treasurer. The Vice Presidentwill perform the duties of the President in his/her absence.
Article IX DUTIES OF THE SECRETARY Section 1 It will be the duty of the Secretary to attend all meetings and to keep a record of the proceedings of such meetings. The Secretary will submit a written record of proceedings to the President of the Cool Cycling Club within 7 days following the completion of each meeting. Upon approval by the President, the Secretary will ensure that a copy is posted to the Cool Cycling Club web site or other standard form of communications to the general membership prior to the next regularly scheduled meeting. In the absence of the Secretary, the presiding officer will designate a substitute from the members in attendance. Section 2 The Secretary will be charged with keeping historical records of the Cool Cycling Club. As a minimum, the Historical Records will consist of the following:
(1) Constitution of the Cool Cycling Club. (2) Records of the approved Constitution and Amendments. (3) Current list of Cool Cycling Club active membership. (4) List of past members. (5) Minutes of all meetings. (6) Records of significant events. (7) Copies of financial reports Article X DUTIES OF THE TREASURER Section 1 The Treasurer will be charged with keeping records/accounts of all receipts and disbursements. The Treasurer will be responsible for disbursement of all the revenues of the Cool Cycling Club. The Cool Cycling Club Treasurer is responsible for all financial accounting of the Cool Cycling Club fund. The Treasurer will establish and maintain all checking, savings or other accounts as deemed appropriate by the membership in the name of the Cool Cycling Club. Disbursements will be made from these accounts as authorized by this Constitution. The Treasurer will give an informal financial status report at each monthly meeting and submit an annual written report to the membership at the December meeting or upon change of Treasurer.
Article XI DUTIES OF THE MEMBER AT LARGE Section 1 The Member at large is a voting member of the Executive Council. While he or she has no specific administrative duties, they have a responsibility to assist with the execution of the Cool Cycling Club Constitution.
Article XII ELECTION AND VOTING
Section 1 The Nominating Committee Chair shall provide a ballot listing candidates for offices to be filled by the membership prior to the annual December meeting. All officers of the Cool Cycling Club will be elected by the general membership in the month of December. The newly elected members of the Council will serve for the following calendar year,commencing with the first day of January and terminating the 31st day of December.Section 2 In all voting situations, the highest number of vote-casting members present together with those who have voted via an absentee ballot constitutes a majority vote. The Chairman of the Nominating Committee or his/her designee will be responsible for preparation, receipt, counting, and security of all ballots. Section 3 In the event of a tie, a runoff election will be held immediately during the December meeting by those members in attendance at the meeting. No absentee ballots will be allowed to break a tie vote. The Chairperson of the Nominating Committee or his/her designee will report the results of the election to the membership during the December meeting.Article XIII MEETINGS AND QUORUMS Section 1 General membership meetings will be held once each month, unless a majority vote of the regular membership dictates otherwise. A quorum for a regular meeting will require three elected officers and at least 25% of regular members to be present. Section 2 A meeting of the Executive Council will be held at such times as may be considered necessary by the Executive Council. At least three Executive Council members must be present to constitute a quorum for the meeting.Section 3 All meetings will be conducted as seen fit by the presiding Executive Council member. If at any time, should the meeting fall into disarray, a simple majority of the members present may vote to continue the meeting in accordance with Robert’s Rules of Order.Article XIV COMMITTEES Section 1 Committees will be formed to organize and execute those activities which support the objectives and goals of the Cool Cycling Club. A committee will consist of a chairperson and those members required to perform that specific function. Committee members will serve on a voluntary basis. Chairpersons will be selected by a majority vote of the committee members. It is the duty of the Committee Chairperson to organize and execute their functional area. The Chairperson will accept sufficient volunteercommittee members to successfully fulfill thecommittee’s obligation. Committee Chairpersons will report ontheir committee’s activities at each Cool Cycling Club meeting. Section 2 Committees may be standing or special. Standing committees are those which will organize the recurring functions of the Cool Cycling Club. Special committees will be formed as needed to accomplish those non-recurring tasks as they become necessary. Special committees can be recommended by any member of the Cool Cycling Club and implemented upon approval of the Executive Committee. Special committees will be formed as needed at the will of the Executive Committee. Standing Committees are the Nominating Committee, the Programs and Special Events Committee, the Membership Committee and the Communications CommitteeSection 3 The Nominating Committeeshall prepare a slate of candidates (desire a minimum of 2 for each position) for the office of president, secretary, treasurer, and member at large. Any member in good standing may submit an application for candidacy. The application must be received by the Nominating Committee at least 30 days prior to the December meeting and election.

The Membership Committee will encourage and support the active members, members at large, and honorary members in staying involved with the Cool Cycling Club, and will encourage ideas to promote increasing and sustaining membership. This committee will also work closely with the Secretary to track the status of all members, maintain a membership roster, and coordinate with other committees to confirm that all internal communication to all members is efficiently accomplished.Section 5 Programs and Special Events Committee: It is the responsibility of this committee to plan, coordinate and implement special events and programs that are primarily sponsored by the CCC for the enjoyment of its membership and the cycling public. Such events shall include, but will not be limited to: organized ride participation and/or sponsorship, community enhancement /education programs, annual or semi-annual social activities, and fundraising events. The committee shall be responsible for providing a plan of operation and budget estimate to membership at one or more regular club meetings well in advance of any proposed event. Certain programs, as needed, may be identified to function as sub-committees, whose Coordinator shall report to the Chairperson of the Programs/Special Events Committee. Section 6 The Communications Committee will be responsible to create and maintain all forms of communication to active and prospective members of the Club. This includes but is not limited to meeting announcements, club activities, race and touring events, discussion forums and items of general interest to cyclists. The committee establishes and maintains a Web page, an e-mail mailing list and any other conduits for information that are deemed useful. The Communications Committee will create and maintain a CCC Internet presence. The committee is solely responsible for content on the web page and web calendar. The committee also reserves the right to moderate submissions to access points that are publicly accessible (such as the web log, web forum and mailing list) when such submissions violate community standards of discourse, constitute “spam” or contain unsolicited commercial content. The committee and its members shall not be held responsible for errors in content on the various access points.
Article XV ADOPTION Section 1 This Constitution becomes effective upon ratification by an affirmative vote of a majority of the membership consisting of members present together with those who have voted by absentee ballot at the ratification meeting and upon the approval of the duly sworn Executive Council.Section 3 Upon ratification of the Constitution, each Cool Cycling Club member will read and acknowledge, in writing, the contents of this Constitution and the Cool Cycling Club Rider Code of Conduct and the Waiver and Release of Liability.Article XVI AMENDMENTS Section 1 Proposals for amendment of this Constitution will be submitted to the membership at large for review at any general meeting of the club. The proposed amendment will be voted on at the first regular meeting following the initial submission. A proposal to amend this Constitution will be ratified by a majority vote of regular members and officers present, together with absentee ballots submitted prior to the start of the meeting at which voting takes place.
Article XVII DISSOLUTION Section 1 Should the Cool Cycling Club dissolve or otherwise cease to function as an instrument of this constitution, the physical and financial assets of the Cool Cycling Club will be donated to a nonprofit bicycling organization as determined by the membership.Section 2 In the event of dissolution, the President will retain the responsibility to bring all accounts in order and dispose of all assets.
